AlphaAI Technologies Inc. dba Tavily or its affiliates, as applicable (the "Company", or "we") respects the privacy of its job applicants and candidates (collectively, the "candidate" or "you"), and is committed to protecting the personal information collected and processed in connection with the recruitment process, including reviewing your job application and evaluating your candidacy for employment with the Company, in accordance with the Protection of Privacy Law, 5741-1981 the regulations promulgated thereunder, and the EU General Data Protection Regulation (GDPR) (collectively, the "Privacy Protection Laws") and as detailed in this privacy policy (the "Privacy Policy", or "Candidates’ Privacy Policy"). It is important that you read this Privacy Policy carefully, together with any other notice we may provide to you in specific cases when we collect or process personal information about you, so that you are aware of for what purposes we collect and process personal information about you, and what your rights are under the Privacy Protection Laws.
Please note that if your recruitment process results in employment/engagement with the Company, the personal information collected about you during the recruitment process will become part of your employee file and will no longer be governed by this Candidates' Privacy Policy, but rather by our separate employee privacy policy, which will be provided to you during your onboarding process. As with many other Company policies, this document is not part of your contract of employment, and we may update it from time to time, for example, if we implement new systems or processes that involve the use of personal information. By providing personal information to the Company as part of the recruitment process or when applying for a position with the Company, you acknowledge that the Company (including affiliated companies and their employees, regardless of their geographical location) will use and process personal information about you as detailed in this Privacy Policy. You hereby acknowledge that the personal information you provide to us (or that is collected by us about you) is provided and processed by us of your own free will for the purpose of evaluating your candidacy for employment with the Company, as well as to enable the Company to comply with applicable legal requirements and for other purposes detailed in this Privacy Policy. You are not legally obligated to provide us with such information except where required by law, in which case the Company will clarify this to you. You acknowledge that the personal information collected about you will be stored in the Company's databases, and may be transferred to databases owned by affiliated companies or other third parties, located in third countries, as detailed in this Privacy Policy. Failure to provide the required information may result in the Company being unable to consider your application or evaluate your fitness for employment, and consequently the Company will be unable to offer you employment.

2. Types of Personal Information We May Collect and Hold About You
In connection with the evaluation of your candidacy, the Company will collect and process personal information that identifies you directly or indirectly, including by means of an identifying detail, such as name, ID number, biometric identifier, location data, online identifier, or one or more details relating to a person's physical, health, economic, social or cultural condition.
Depending on the circumstances, we may collect, store, use and process the following categories of personal information about you:
- Contact and Identification Information: Name, address, email address, telephone number, date of birth, gender, ID number, ID photo, and other identification documents such as driver's license or passport;
- Professional Background: Resume or CV, cover letter, details about previous work experiences including positions held, job descriptions, working hours, employment conditions, notable achievements, current and previous salary information, and military background;
- Education and Qualifications: Academic and educational information including degrees earned, certificates, transcripts, professional training courses completed, published work or research, and membership in professional associations;
- Employment Preferences: Information regarding your preferred type of employment, current or expected salary, previous salaries, compensation preferences, willingness to relocate, availability for full-time or part-time work, remote work preferences, and other job-related preferences;
- Application Materials: Work samples, references, recommendation letters, portfolio materials, and any additional documents or information you provide at your discretion or per our request to support your job application;
- Assessment and Evaluation Data: Results of aptitude tests, skills evaluations, personality assessments, reliability and integrity tests (including polygraph analyses and psychological reliability tests), graphology examinations, interview summaries, conversation notes, and other evaluations conducted during the hiring process;
- Third-Party Information: Details from referral sources such as recruiting agencies or professional contacts, information from background check providers (where permitted by law), and publicly available information from online platforms such as LinkedIn profiles or professional networking sites;
- Immigration and Legal Status: Information related to your right to work and immigration status;
- Communications: Personal information included in emails and other correspondence with you during the recruitment process;
- Demographic Information: General demographic data collected in accordance with applicable laws and regulations.
3. How We Collect Information About You
We collect personal information about you through the following methods :
- Information which you decide to provide us voluntarily: For instance, when you submit a job application or provide personal information to us as part of the interview process.
- Information from referrals: We also collect personal information about you if you are referred for a role at the Company by a third party.
- Information from public sources: For instance, we may collect personal information you submit in public forums, such as information made publicly available on a personal webpage or your social media account.
- Information from other third parties: For instance, employment screening agencies, headhunters, background check agencies, recruiting agencies, former employers and others.
4. How We Use Information About You
We use personal information about you for the following purposes:
- Recruitment and Employment Decisions: To evaluate your qualifications for current and future positions, make informed hiring decisions, consider you for potential opportunities, and finalize employment agreements where applicable;
- Relationship Management: To manage our relationship with you effectively, including scheduling meetings, facilitating communication, providing requested information, and accommodating any physical disabilities during the recruitment process;
- Legal Compliance and Obligations: To adhere to legal obligations associated with the hiring process, fulfill record-keeping requirements, comply with internal and external reporting obligations, and meet regulatory requirements;
- Background Verification: To conduct background checks, screenings, and verification processes within the bounds of applicable law;
- Business Operations: To support the Company's business needs, including business management and planning, mergers and acquisitions, accounting, auditing, administrative functions, and other similar business requirements;
- Security and Protection: To safeguard the safety, security, confidentiality, and integrity of our assets, including to prevent fraud and protect the rights of all parties involved;
- Legal Proceedings and Dispute Resolution: To establish, assert, or defend legal claims and handle legal disputes;
- Research and Analysis: To conduct research and statistical analysis, analyze trends in job applicants and candidate experiences, assess and enhance our recruitment procedures with a focus on promoting diversity, equity, and inclusion where permissible by law, and generate reports in aggregated, de-identified, or anonymized formats;
- Legitimate Business Interests: For other legitimate purposes including protecting the Company's rights and interests, enforcement of internal procedures and policies, conducting internal investigations, auditing, and ensuring compliance with applicable laws and regulations.
5. The Legal Basis for the Collection of Your Personal Information
The Company processes the above personal information in order to take steps at your request prior to entering into a contract, for the Company’s legitimate interest in assessing your suitability for the position and where applicable to fulfill our legal obligations .
6. The consequences of not being able to Collect Your Personal Information
Failure to provide the personal information may result in the Company being unable to consider your application or evaluate your fitness for employment, and consequently the Company will be unable to offer you employment.
7. How Long We Keep Your Personal Information
- If You Are Not Hired: If you are not selected for employment, any personal information that you have submitted to the Company will be confidentially destroyed in accordance with the Company's Data Retention and Deletion Policy.
- If You Are Hired: If you are hired by the Company, your personal information collected during the recruitment process will be incorporated into your employee records and will be governed by our separate employee privacy policy, which will be provided to you during your onboarding process.
- Extended Retention: Notwithstanding the above timeframes, the Company reserves the right to retain your personal information for longer periods when necessary to achieve the purposes outlined in this Privacy Policy, for the management of existing or anticipated legal proceedings, to establish, exercise, or defend legal claims, or if required to do so by applicable law.
- Deletion and Anonymization: After the applicable retention periods expire, your personal information will be securely deleted or anonymized, unless continued retention is required by law or necessary for legal proceedings. Anonymous or aggregate information derived from your personal information may be retained by the Company indefinitely, and the Company may use it without any limitation.
8. Sharing Information with Third Parties
The Company may transfer your personal information to third parties for the purposes detailed below:
- Affiliated Companies: We may share your personal information with our affiliated companies within our corporate group for the purposes described in this Privacy Policy. We may also utilize technological platforms, systems, or services provided by such affiliates (including our parent company) to process, store, or manage your personal information.
Service Providers: We may share your personal information with third-party service providers who assist us in operating our business and conducting the recruitment process. These service providers may include: background check providers, assessment and testing platforms, recruiting agencies, cloud service providers, IT and information security service providers, organizational consultants, data analytics providers, and other similar vendors. These service providers are authorized to use your personal information only as necessary to provide services to us and not for their own independent purposes. Without limiting the generality of the foregoing, please note that amongst other service providers, we utilize Google Workspace, including Google Docs, Gmail, Google Meets and other Google services to manage and store the personal information as described in this Privacy Policy.
The Company takes reasonable measures to engage with suppliers and third parties that meet accepted standards for information security. The Company will only engage with entities that provide adequate protective measures, to ensure that your personal information is stored and processed securely and in accordance with applicable law.
- Professional Advisors: We may share your personal information with professional advisors such as lawyers, accountants, auditors, and insurance advisors who may process the information in accordance with their own professional obligations and privacy policies;
- Legal and Regulatory Authorities: We may disclose your personal information to comply with applicable laws, legal proceedings, court orders, disclosure orders, or requests from authorized government authorities;
- Protection of Rights and Safety: We may disclose your personal information to detect, prevent, or address fraud, security issues, safety concerns, or technical problems; to enforce and investigate possible violations of our policies and procedures; to respond to claims, demands, lawsuits, or accusations; and to protect the rights, property, or safety of the Company, our employees, candidates, or the general public;
- Business Transfers: In the event of a merger, acquisition, reorganization, or sale of all or substantially all of our assets, your personal information may be transferred to the acquiring entity, provided that such entity undertakes to maintain privacy protections substantially similar to those outlined in this Privacy Policy. Disclosure may also occur during negotiations leading up to such transactions;
- With Your Consent: We may share your personal information with other third parties when we have obtained your prior consent to do so.
For the avoidance of doubt, the Company reserves the right to collect, use, disclose and transfer to third parties non-identifying, anonymous information, at its sole discretion.
9. Transfer of Personal Information Outside of Israel
The Company may transfer personal information collected about you to third parties (as detailed in this Privacy Policy), including affiliated entities or third-party service providers, which may be located in jurisdictions outside of Israel or the European Economic Area (EEA). In such cases, the Company will ensure that appropriate safeguards are in place to protect your personal information, such as implementing Standard Contractual Clauses, entering into intra-group data transfer agreements between group companies, or relying on other lawful transfer mechanisms as required by applicable data protection laws. The Company may also share your information with other members of its group worldwide, subject to these safeguards and, where relevant, pursuant to intercompany agreements that ensure adequate protection of your personal information.
10. Information Security
We invest significant efforts in implementing advanced information security measures for your personal information. We implement information security procedures and policies in accordance with industry standards and the requirements of Privacy Protection Laws, with the aim of ensuring the integrity of your personal information and preventing unauthorized access, use, disclosure, modification, or destruction of such information. In addition, we limit access to your personal information only to Company employees and third parties who have a business need to know and access this information, subject to their commitment to process your personal information in accordance with our instructions and the requirements of Privacy Protection Laws, and subject to strict confidentiality obligations. However, please note that we cannot guarantee that the information will not be compromised as the security of information depends in part on the security of the computer, device or network you use to communicate with us and the security you use to protect your user IDs and passwords. Please make sure to take appropriate measures to protect this information.
11. Your Rights
The following rights (which may be subject to certain exemptions or derogations) shall apply to certain individuals (some of which only apply to individuals protected by the GDPR):
- You have a right to access personal information held about you. Your right of access may normally be exercised free of charge, however we reserve the right to charge an appropriate administrative fee where permitted by applicable law;
- You have the right to request that we rectify any personal information we hold that is inaccurate or misleading;
- You have the right to request the erasure/deletion of your personal information (e.g. from our records). Please note that there may be circumstances in which we are required to retain your personal information, for example for the establishment, exercise or defense of legal claims;
- You have the right to object, to or to request restriction, of the processing;
- You have the right to data portability. This means that you may have the right to receive your personal information in a structured, commonly used and machine-readable format, and that you have the right to transmit that data to another controller;
- You have the right to object to profiling;
- You have the right to withdraw your consent at any time. Please note that there may be circumstances in which we are entitled to continue processing your data, in particular if the processing is required to meet our legal and regulatory obligations. Also, please note that the withdrawal of consent shall not affect the lawfulness of processing based on consent before its withdrawal;
- You also have a right to request certain details of the basis on which your personal information is transferred outside the European Economic Area, but data transfer agreements and/or other details may need to be partially redacted for reasons of commercial confidentiality;
- You have a right to lodge a complaint with your local data protection supervisory authority (i.e., your place of habitual residence, place or work or place of alleged infringement) at any time or before the relevant institutions in your place of residence. We ask that you please attempt to resolve any issues with us before you contact your local supervisory authority and/or relevant institution.
12. Changes to the Privacy Policy
We reserve the right to update, modify, or change this Privacy Policy at any time and at our sole discretion to reflect changes in our practices, legal requirements, or for other operational reasons. Any changes will become effective immediately upon posting the revised Privacy Policy on our website or career portal, with the date of last update clearly indicated. We encourage you to review this Privacy Policy periodically.
